Legal Q&A
Common questions from estate agencies
-
When do I become the owner of a property: on signing the agreement or on land registration?
You become the owner only when ownership is registered in the land registry, not when the agreement is signed. Signing creates contractual obligations only; the seller remains the owner until the registry’s decision. That is why the price should be paid through escrow, releasing funds only after registration, rather than paid to the seller before registration is permitted.

We are creating an easement for utilities. How should it be surveyed?
The scope of each right must be definite. If an easement burdens only part of a plot, that part must be delineated by a survey plan. Installation of a utility may be limited to a surveyed strip, while access for maintenance may cover the whole clearly identified plot. That difference is not in itself a defect: the agreement must clearly distinguish the individual rights and define their spatial and substantive scope.

Why does a lawyer examine beneficial ownership when authorising an agreement?
When authorising, a lawyer is an obliged entity under Act No. 297/2008 Coll. and must perform customer due diligence, including beneficial owner identification and verification, ownership structure checks, sanctions screening and politically exposed person checks. If ownership cannot be established or the client refuses cooperation, the lawyer cannot proceed. Prepare an ownership structure traced through to specific individuals.

The lawyer in a transaction brokered by an estate agency: whom do they work for and what follows from that
The agent recommends a lawyer who prepares the contracts for both seller and buyer, and the agency pays them a retainer. Whose interests does the lawyer then protect, what may they tell the agent, and what happens if the parties fall out? We explain what the Act on Advocacy says and how to set the arrangement up so that everyone can trust it.

An estate agency is an obliged entity under the AML Act, and its own-activity programme cannot be a generic template pulled from a drawer. We explain what the programme must contain, how to work into it the unusual transactions typical of property dealing, why and how often to train agents including those working under a trade licence, and what is at stake on inspection.

A property transaction can collapse over an obstacle that was on the title deed from the outset. For estate agencies and their agents we explain why checking a property before it goes into the portfolio is the agency’s duty, what must be checked straight away, what the title deed does not show, and when the matter becomes a legal check belonging to a lawyer.
